The leadership playbook to stop the middlemen bleeding your employer health plan dry
Executive Brief
For the past several weeks, we’ve been opening PBM contracts. Real ones. Line by line.
The money leaves the plan through terms most executives never read and never priced. Mark Cuban has been saying a version of this in public for three years.
The billionaire makes the case. This book hands you the playbook.
A billionaire talking candidly to other executives opens doors. A book gets read in rooms a benefits memo never reaches and starts conversations that improve benefits for employees and their families.
The Middleman’s Cut
One thing to be clear about: The Middleman’s Cut draws on Mark Cuban’s own public comments, used with his permission. His words run throughout, with each quote sourced in the Bibliography. Mark did not write, co-author, or review this book. The case against the middlemen is his. The work of turning it into something you can act on is mine.
What The Book Covers
The Middleman’s Cut walks an executive from “I trust my consultant” to “I own this outcome.” It reads like a leadership book, because it is one. It shows where pharmacy dollars actually go, why the contract is the point of control, and what a plan sponsor can do about it. It names a duty most executives don’t know they’re already carrying.
Cuban put the exposure plainly:
“Most chief executives of self-insured companies don’t know and don’t really want to know where their health care benefit dollars are going.” — Post on X, February 2024
Under the Consolidated Appropriations Act, not knowing has become a governance problem. The plan sponsor carries personal fiduciary exposure for whether the plan acts in the sole interest of participants. Those participants are employees and their families. The dollars are theirs. The responsibilities are yours.
The Point Of This Whole Thing
Cuban’s pointed line to employers:
“You have so much leverage, you can change the game.”
That power lives in the contract. Read it. Score it. Fix it. The people counting on the plan are the ones who signed up for the benefit. That’s why Nautilus built Contract X-Ray.
The Numbers Worth Your Attention
Across the PBM contracts we’ve scored, fewer than one in eight meet the top fiduciary standard.
That’s not a market poll. It’s what we see in the contracts that reach our desk, weighted toward governmental and self-funded employers who asked us to look. The direction is consistent, and it holds across every PBM business model we’ve reviewed.
Who This Book Is For
CEOs, who sign the plan and own the outcome.
CFOs, who can find real money in terms they’ve never scored.
General counsel, who now carry fiduciary exposure.
Benefits leaders, who want the plan to work for the people in it.
Advisors, who want a credentialed standard to point to.

A Note of Appreciation
Mark Cuban
To Mark Cuban, for refusing to look away. For three years of
blunt, public testimony to rooms that didn’t always want to hear it.
And for putting the responsibility exactly where it belongs:
“You have more power than you think.”
All the best,
P.S. Next week: the first CAA 2026 Readiness Report comes out. See the PBMs who agreed to put their fiduciary scores in the open. We will publish them next Thursday to align with RosettaFest announcements.
